Company Files

Company Files is where your organization keeps its incorporation, equity, tax and governance records. Board minutes, formation documents, signed agreements and filings all go in one place, with a history of every version and control over who can open each one.

It’s in the sidebar as Company Files.

  • You can hand over a complete set. When a bank, auditor or counterparty asks for your formation documents, they’re in one list, filed against the right legal entity.
  • Old versions don’t get lost. A new copy of a document is added as a version, not a second file. The earlier ones stay downloadable.
  • Sensitive files stay private. Board minutes or a cap table can be limited to named people and groups. Everyone else sees only that the document exists and can ask for access.
  • Paperwork sits next to the money. You can link a document to the payment it relates to, and to the entities and people on it.
  1. You upload a file and give it a name. Depending on how your organization has set up the upload form, you also pick the entity it belongs to, the date on the document, linked parties and payments, and who can see it.
  2. Mezzanine scans it for safety. Until the scan finishes, the file can’t be viewed or downloaded.
  3. The document appears in the table. Anyone with access can search for it, open it and preview it in the browser.
  4. When the document changes, you add a version with a short note on what changed. The newest version becomes the current one.
  5. When it’s no longer current, you archive it. It leaves the main list but can be restored.

  • After incorporation, a financing round or a board meeting, to file the signed documents while they’re at hand.
  • When someone asks for a document, to find it and send them a link or a download.
  • When a document is amended or re-signed, to add the new copy as a version rather than a separate file.
  • Before an audit or due diligence, to check what’s on file for each entity.

Click Actions at the top right for Upload document and Document upload settings. Sync file systems is listed but marked Coming soon and does nothing yet.

  • Search documents… matches on the document’s name.
  • Entity narrows the list to one of your legal entities.
  • Archived adds archived documents to the list.
  • Clear resets all of these.

The count on the right shows how many documents match, out of the total. Click a column heading to sort. DATE UPLOADED is the one most people want.

Hover over a row and click the eye icon (View document) or the download icon (Download document) to view or download it without opening it. Click the row to open the document’s details.

The window has four tabs:

  • Overview: a preview of the file and its details: name, file name, Agreement ID, Entity, linked parties and transactions, who uploaded it and when, who it’s shared with, file size, Scan status and Notes.
  • Linked: the entities, people and payments this document relates to.
  • Versions (n): every version, with who uploaded it, when, and its note. Each has its own view and download buttons. Add version uploads a new one.
  • Sharing: who can edit and who can only view this document. Only people who can edit the document see this tab.

The buttons along the bottom are icons. Hover to see what each does: Archive document (or Restore document), View document, Download document, Copy link to document and Edit document. To change the name, Agreement ID, Notes, links or sharing, click Edit document on that tab, make the change, then click Save.

View document opens a full-page preview. PDFs and images show in the browser. For other file types you’ll see Preview not available for this file type — Download to view. Back to Company Files takes you back to where you were.

If a document has been shared with specific people and you aren’t one of them, it still appears in the list with its name, but you can’t open it. Hover over the row and click Request access. Choose View only or View and edit, add a reason if you like, and click Send request. An administrator reviews it. The row then shows Requested until they decide.

The table shows DOCUMENT, LINKED PARTIES and LINKED TRANSACTIONS until someone changes it. To add or reorder columns, click the columns icon at the right of the filter bar. In Show & order columns, tick the columns you want, drag them into order, and click Apply. Reset to defaults puts it back.

Column choices apply to everyone in your organization, not only you.

Actions → Document upload settings opens Document Upload Settings. Each field on the upload form has a switch. Turn off anything your team doesn’t fill in, and it disappears from the upload form for everyone. A Live preview on the right shows the form as it will look.

  • Document name is always shown.
  • Entity: Which of your legal entities the document belongs to. Hide it if you only operate one entity.
  • Document date: The date on the document itself, which is often not the day it was uploaded.
  • Linked parties, Linked transactions and Permissions can each be turned off if you’d rather set them later from the document.

Turning a field off doesn’t delete anything. Documents already filed keep what they have, and you can turn the field back on at any time.

  • Allowed files: PDF, DOCX, XLSX, PNG, JPG, HEIC, CSV and MD, up to 25MB each. Older .doc files aren’t accepted; save them as DOCX first.
  • Entity is filled in for you. When the Entity field is on, the upload form starts with your first legal entity already selected. Check it before you upload. If your organization has no legal entities yet, you can’t upload until you add one under Entities or an admin turns the Entity field off.
  • One document per agreement. An Agreement ID is your own reference for a contract, like TPA-001. Each agreement can hold one document. If it already has one, you’ll see This agreement already has a document. Upload a new version of that document instead.
  • Sharing is open until you restrict it. A document with nobody listed on its Sharing tab can be opened by everyone with View company files. As soon as you add someone, only the people and groups listed, the person who uploaded it, and anyone with Manage company files can open it.
  • Archiving isn’t deleting. There’s no way to delete a document. Archived documents stay searchable with the Archived filter and can be restored.
  • A version note is required when you add a version, up to 500 characters.
  • Filters reset when you leave. Opening a full-page preview and coming back clears your search and filters.

If you don’t have View company files, the page reads You can’t view company files and offers Request Permission. Upload and settings items in the Actions menu stay greyed out for people who can only view; click one to request access. On a document you can view but not edit, Request edit access asks for edit rights to that document alone.
